1. Introduction

- Hoice Incorporation ("the Agency") provides website design, development, and related digital services. These terms govern the use of our services, website, and agreements made between the Agency and clients.

2. Scope of Services

 - The Agency offers custom website design, e-commerce development, SEO, and related digital solutions, as outlined in the project proposal or contract.
 - Any additional services or changes in the project scope must be agreed upon in writing and may incur additional charges.

3. Client Responsibilities
 - The client agrees to provide all required content, images, logos, and access needed for the project within agreed timelines.
 - The client is responsible for securing appropriate licenses and permissions for all materials provided.

4. Fees and Payment
 - Payment terms are specified in the project proposal or invoice. Typically, Hoice Incorporation requires a deposit before work begins, with remaining payments due at project milestones or upon completion.
 - Late payments may incur additional fees and may affect the project timeline.

5. Ownership and Intellectual Property
 - The Agency retains ownership of all project materials until full payment is received. Upon final payment, the client is granted a license to use the final deliverables for their intended purpose.
 - Hoice Incorporation retains the right to display completed projects in its portfolio unless otherwise agreed in writing.

 6. Revisions and Feedback
 - The project includes up to [e.g., two] rounds of revisions as part of the original scope. Additional revisions outside the agreed scope will be billed at the Agency's hourly rate.
 - Timely feedback is essential to keep the project on schedule. Delays in feedback may result in project extensions.

7. Confidentiality
 - Both the client and the Agency agree to maintain confidentiality concerning proprietary information shared during the project. Neither party will disclose any confidential information to third parties without prior written consent.

8. Liability and Indemnity
 - Hoice Incorporation strives to provide error-free, high-quality services; however, the Agency is not liable for any loss or damage resulting from the use of the services provided.
 - The client agrees to indemnify the Agency against any legal actions resulting from the client’s use of the website or any materials supplied by the client.

9. Warranties and Limitations
- The Agency provides no warranties beyond those expressly stated. Any website maintenance, updates, or post-launch support outside the initial scope requires a separate maintenance agreement.
 - The client acknowledges that, due to the nature of digital projects, minor discrepancies or errors may occur. Hoice Incorporation will address any major issues but is not liable for unforeseen issues.

10. Termination
 - Either party may terminate the project with written notice if the other party fails to meet obligations under this agreement.
 - If the client terminates the project, the client is responsible for all costs and fees incurred up to the termination date. Deposits are non-refundable.

11. Governing Law
 - These Terms and Conditions shall be governed by and construed in accordance with the laws of [Your Jurisdiction]

12. Amendments
 - Hoice Incorporation reserves the right to amend these Terms and Conditions at any time. Clients will be notified of significant changes.
